Item 1: Approval of financial assistance in connection with the acquisition of De Costi Seafoods

Essentially, the resolution allows the inclusion of De Costi under the Tassal Group borrowing facility. The purchase of De Costi came into effect from 1 July 2015. The terms of Tassal’s borrowing facility require it to provide security over De Costi’s assets, to its banking syndicate. For this to occur, the Corporations Act requires a special resolution to be passed by shareholders. This is a normal commercial practice and the ASA intends to vote FOR the resolution.

The ASA will be unable to attend the EGM and will direct proxies to the Chairman and have asked the Chairman, on our behalf to vote undirected proxies we hold in support of the resolution.
